  1. AGREEMENT TO TERMS

Please read these Terms of Service ("Agreement") carefully. Your use of the Holzsch Online Properties constitutes your consent to this Agreement.

This Agreement is between you and Holzsch, Inc. ("Holzsch," "we," or "us") concerning your use of the websites located at www.holzschfurniture.com and any other websites or mobile applications owned or controlled by Holzsch that reference this Agreement (collectively, the "Holzsch Online Properties").

By accessing or using any Holzsch Online Properties, you affirm that you are of legal age to enter into this Agreement. If you are acting on behalf of an organization, you represent that you have authority to bind that organization to these terms.

  1. CHANGES TO TERMS

We may update or revise these Terms at any time by posting the revised version online. The effective date will be updated accordingly. Continued use of the Holzsch Online Properties after any changes constitutes acceptance of those changes.

  1. INFORMATION SUBMITTED THROUGH THE HOLZSCH ONLINE PROPERTIES

Your submission of information through the Holzsch Online Properties is governed by our Privacy Policy. You represent that all information you provide is accurate, complete, and current, and that you will promptly update it as needed.

  1. JURISDICTIONAL ISSUES

The Holzsch Online Properties are controlled and operated from the United States and are not intended to subject Holzsch to any non-U.S. jurisdiction. Access from other locations is at your own risk, and you are responsible for compliance with all applicable laws.

  1. PRODUCTS

The Holzsch Online Properties may include listings, descriptions, or images of products or services ("Products"). Product details and availability may change without notice. Variations in color, texture, or appearance between digital and physical materials are normal and not defects.

  1. TRANSACTIONS

When you make a purchase, you may be required to provide payment and billing information. You represent that you have the right to use any payment method submitted.

You agree to pay all charges incurred at the prices in effect at the time of purchase, including taxes and shipping.

  1. SHIPPING & DELIVERY

Holzsch provides domestic and international shipping services in accordance with its published Shipping Policy.

In-Stock Items – Orders for items currently in inventory are processed and shipped within 5 to 10 business days following payment confirmation, subject to standard carrier schedules and routine processing times. Delivery dates may vary depending on destination, service level, and carrier conditions.

Special Orders – Custom-made or made-to-order products follow the estimated 8 to 16 week production period described in Section 12. This timeline is an assessment, not a guarantee, and may vary based on material availability, complexity, or supplier logistics.

Freight & White-Glove Service – Large items are shipped by specialized carriers and may require appointment scheduling. Customers must ensure safe and unobstructed delivery access. Any rescheduling or redelivery fees charged by the carrier are the customer's responsibility.

Damage or Inspection – All shipments should be inspected upon delivery. Claims for visible damage must be reported to Holzsch within 48 hours of receipt and documented with photos. Holzsch will coordinate repair or replacement at its discretion.

Holzsch is not responsible for delays, loss, or damage resulting from carrier handling, weather, customs clearance, or other events beyond its control.

  1. REFUNDS & EXCHANGES

Refunds and exchanges are governed by Holzsch's Refund & Return Policy available at holzschfurniture.com. If an order is approved for refund or exchange, the product must be returned within ten (10) business days. Failure to return the product authorizes Holzsch to recharge your payment method for the item.

Custom and special order items are non-refundable and non-exchangeable per Section 15 of this Agreement. No refund will be issued for any item that has been accepted at delivery as documented by a signed Proof of Delivery.

  1. TRADE & CONTRACT CUSTOMERS

Trade and contract clients are subject to separate Trade Terms and Conditions. In the event of any conflict between this Agreement and the Trade Terms, the Trade Terms shall govern.

  1. WARRANTY

Holzsch provides limited warranties as follows:

Wooden tables and benches – 5 years Epoxy and stone tables – 3 years Chair frames – 2 years Chair upholstery – 1 year

This warranty covers structural and craftsmanship defects only. Natural variations in wood, stone, or epoxy are not considered defects. Warranty claims must be submitted to Holzsch directly at info@holzschfurniture.com and do not entitle the customer to initiate a payment reversal or chargeback through any financial institution.

  1. NATURAL MATERIALS POLICY – WOOD & STONE VARIATIONS

Holzsch furniture is crafted from natural materials such as solid wood slabs, stone, and veneered elements. Variations in color, grain, pattern, texture, or tone are inherent to these materials and are part of their natural beauty.

The following are accepted industry tolerances and not grounds for claims or replacement:

Knots, fissures, live edges, and grain shifts in wood Tonal gradients, inclusions, or surface variations in stone Micro-variations where materials are fused or finished together

Each piece is individually crafted, and no two items are identical.

  1. PROJECT TIMELINE & FORCE MAJEURE

Production timelines vary depending on product type and availability.

For special order items, the estimated production period of 8 to 16 weeks is an assessment, not a guarantee or promise. It represents the average time typically required for custom manufacturing, finishing, and preparation for shipment.

For in-stock items, standard fulfillment and shipping occur within 5 to 10 business days following payment confirmation, subject to routine processing and carrier schedules.

Delays may occur due to customs inspections, international shipping congestion, material availability, or Force Majeure events such as natural disasters or port closures.

Holzsch will provide timely updates and revised estimated completion or delivery dates when such events occur. Holzsch shall not be held liable for any costs, penalties, or damages arising from delays beyond its reasonable control.

  1. CUSTOMER MATERIAL SELECTION PROCESS

Each client project includes presentation of at least three (3) material slabs or stone options aligned with the design concept.

If a customer does not make a final selection within a reasonable time, Holzsch reserves the right to cancel the project and refund the deposit less 20% to cover design and coordination costs.

All project visuals, slabs, and renderings will be provided for transparency.

  1. INTELLECTUAL PROPERTY

All designs, CADs, drawings, renderings, photographs, text, and brand materials produced or shared by Holzsch are and remain the exclusive intellectual property of Holzsch.

They may not be copied, modified, or used without prior written consent.

Unauthorized use of Holzsch's intellectual property may result in legal action.

  1. SPECIAL ORDERS

Special order items are custom-built exclusively for the customer. Production begins immediately upon receipt of the order and deposit.

Because these products are made-to-order:

Special orders cannot be canceled, altered, or returned after confirmation. A non-refundable 50% deposit is required to begin production. The remaining balance must be paid in full before shipping or delivery. All special orders are governed by this Agreement and any applicable Holzsch sales terms.

Payment disputes or chargebacks initiated after delivery acceptance of a special order item constitute a material breach of this Agreement. Holzsch reserves the right to pursue recovery of all disputed amounts plus any costs incurred in contesting the dispute.

15-A. DELIVERY ACCEPTANCE & PAYMENT FINALITY

Upon delivery, the customer or their authorized representative is required to inspect the item(s) and sign a Proof of Delivery document. This document requires identity verification by government-issued photo ID.

Signature on the Proof of Delivery constitutes:

(a) Final physical acceptance of the item(s) as delivered; (b) Confirmation that the transaction is complete and the item was received; (c) Acknowledgment that payment is final and non-reversible through any financial institution, payment processor, bank, or credit card issuer.

Any post-delivery concerns regarding quality, condition, or warranty must be directed to Holzsch through the processes described in Sections 8 and 10 of this Agreement. These sections provide the exclusive remedies available after delivery acceptance.

Initiating a chargeback, payment reversal, or financial dispute of any kind following signed delivery acceptance β€” on any grounds including but not limited to item not received, item not as described, quality concerns, or unauthorized transaction β€” is a breach of this Agreement. Holzsch will contest all such disputes and submit the signed Proof of Delivery and identity verification as evidence.

Holzsch will not deny warranty or return rights to any customer who raises concerns through the proper channels described in this Agreement. However, those remedies are separate from and do not include the right to reverse payment through a financial institution.

  1. USER ACCOUNT & SECURITY

You may be required to register an account. You are responsible for maintaining confidentiality of your login information and for all activities under your account.

  1. RULES OF CONDUCT

You agree not to misuse the Holzsch Online Properties. This includes:

Uploading harmful or unauthorized content Engaging in illegal activity Attempting to interfere with site operations Reproducing or redistributing materials without consent

  1. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, Holzsch provides all services and products "as-is" without express or implied warranties except those explicitly listed herein.

  1. LIMITATION OF LIABILITY

Holzsch shall not be liable for indirect, incidental, or consequential damages.

Total liability shall not exceed the greater of (1) the amount paid for the product or (2) ten U.S. dollars ($10).

  1. INDEMNIFICATION

You agree to indemnify and hold Holzsch harmless from any claims, damages, or expenses arising from your use of the Holzsch Online Properties or violation of this Agreement.

  1. TERMINATION

We may terminate your access at any time if we believe you have violated these Terms. Upon termination, all licenses and rights granted to you will immediately cease.

  1. FORCE MAJEURE

Holzsch is not responsible for failure or delay in performance caused by events beyond reasonable control, including natural disasters, government actions, or supply chain disruptions.

  1. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of Florida, USA.

Disputes will be resolved through binding arbitration under the American Arbitration Association's Consumer Arbitration Rules. The arbitration will take place in Florida, unless both parties agree otherwise.

  1. MISCELLANEOUS

This Agreement is the complete and exclusive statement of the agreement between you and Holzsch. If any provision is found invalid or unenforceable, the remaining provisions will remain in effect.

Holzsch may assign this Agreement without restriction. No waiver of any term is a continuing waiver of any other term.
